Terms of Service

By accessing or using Vinedio ("the Service"), you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms. We may update these Terms from time to time, and your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

Vinedio is an AI-powered platform that helps real estate professionals produce professional listing presentations. The Service provides, among other things:

• AI-generated listing presentation documents and marketing materials.
• Automated market analysis and comparable property ("comp") selection.
• Algorithmic pricing strategy and absorption analysis.
• Estimated net sheet (seller's estimated net proceeds) calculations.

To use the Service you must create an account. We use passwordless magic-link email authentication, so there is no password to reset or compromise. You are responsible for maintaining the security of the email account associated with your Vinedio account and for all activity that occurs under it. Please notify us promptly at support@vinedio.com if you believe your account has been compromised.

Certain features of the Service are paid. Payments are processed securely by Stripe, our third-party payment processor. By purchasing a plan or credits, you agree to pay the fees shown at the time of purchase and to comply with Stripe's terms of service.

• No refunds on generated presentations. Because presentations are generated and delivered instantly upon purchase, all sales of generated presentations are final and non-refundable.
• Plan changes. You may change or upgrade your plan at any time. Changes take effect at the start of the next billing period unless otherwise stated. Downgrades do not entitle you to a refund of previously paid amounts.

You retain full ownership of the listing data, property information, photographs, and any other content you provide to the Service ("User Content"). By submitting User Content, you grant Vinedio a limited, non-exclusive, worldwide license to process, store, and display that content solely for the purpose of generating and delivering your presentations and operating the Service.

Vinedio uses artificial intelligence and automated models to generate market analyses, pricing recommendations, net sheet estimates, and other content. Such content is provided for informational and marketing purposes only and does not constitute an appraisal, a valuation, financial advice, or a guarantee of any result.

You are solely responsible for reviewing the accuracy, completeness, and suitability of all AI-generated content before sharing it with clients or relying on it in any transaction. Figures marked as estimates are customary approximations and vary by county and provider. Vinedio makes no warranty that AI-generated content is error-free, current, or appropriate for any particular property.

Vinedio owns the Service, its underlying software, the platform, presentation templates, design systems, and the visual design of generated presentations. Nothing in these Terms transfers any ownership of the Service or its intellectual property to you. You may not copy, modify, distribute, sell, or create derivative works from the Service or its templates, except to the extent necessary to use generated presentations for your own legitimate business purposes.

The Service may enable you to collect and manage digital signatures on documents. Electronic signatures obtained through the Service are intended to be legally binding in accordance with the U.S. E-SIGN Act and applicable state law. You are responsible for ensuring that your use of e-signatures complies with all applicable laws and that signatories provide valid consent. Vinedio is not a party to your transactions and is not responsible for the enforceability of any signature or document.

The Service integrates with third-party providers, including Google Maps (mapping), RentCast (market data), and Stripe (payments). These providers operate under their own terms of service and privacy policies, which you agree to comply with when using the Service. Vinedio does not control and is not responsible for the behavior of these third-party services. Their respective terms apply to your use of those services.

To the maximum extent permitted by law, Vinedio, its affiliates, officers, and employees shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or business opportunities, arising out of or related to your use of the Service. Our total aggregate liability for any claim shall not exceed the amount you paid to Vinedio in the twelve (12) months preceding the claim.

We are not liable for any investment, listing, or transactional decisions you make based on AI-generated estimates, pricing recommendations, or market analyses. You use the Service at your own risk.

You may stop using the Service at any time and delete your account by contacting us. We may suspend or terminate your access to the Service at our discretion if you violate these Terms, engage in fraudulent or abusive conduct, or if continued provision would create legal or operational risk. Upon termination, your right to use the Service ceases. Provisions of these Terms that by their nature should survive termination, including sections on intellectual property and limitation of liability, will survive.

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Orange County, California, and you consent to the exclusive jurisdiction of those courts.

We may revise these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page and, where appropriate, notify you by email. If a change is material, we will provide reasonable notice before it takes effect. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
